Francesca Maria Carera specialises in tax and corporate law. She provides ordinary and extraordinary consultancy to companies, partnerships, sole traders and, on a secondary basis, to professional specialists and private individuals on accounting and tax matters.
In the course of the years, she has also built up experience in management support for the family offices of companies on such matters as transfer of powers through the generations and equity reorganisation, inclusive of the related extraordinary transactions (reverse and ordinary mergers, demergers, transformations, contributions in kind, acquisitions of business branches and liquidations). She also has experience as a member of due diligence teams in corporate sale and purchase transactions.
She has frequently offered consultancy services to client companies, most of them small, medium and family run, for the purpose of providing them with organisational and management support, and supplied them with opinions on accounting and tax matters.
She has provided consultancy and support services to companies operating within a number of sectors, including the motor, pharmaceutical, property management and construction, industrial plant and machinery, advertising and wholesale and retail industries and companies trading in second hand goods and works of art.
She has recently built up experience in tax and accounting requirements in bankruptcy procedures and within non-commercial entities such as associations and foundations.
She holds positions as acting auditor in non-listed joint stock companies.
A graduate of Università Cattolica del Sacro Cuore, Milan, she is a member of the Association of Chartered and Certified Accountants of Milan and is listed in the Register of Statutory Auditors.
